Introduction

  1. The Panel, James Dickson, Michelle Jablko (sitting President) and Nicola Wakefield Evans made a declaration of unacceptable circumstances in relation to the affairs of Condor Blanco Mines Limited. The application concerned two issues of Condor shares being placed in escrow which resulted in Condor and the escrow agent each (in relation to both issues) acquiring a relevant interest in voting shares in Condor in contravention of s606.1 They also failed to make disclosure in contravention of s671B.

Condor Blanco Mines Limited - Variation of Orders

The Panel made a declaration of unacceptable circumstances and orders on 27 May 2016 on an application dated 1 May 2016 by Mr Joshua Farquhar in relation to the affairs of Condor Blanco Mines Limited (see TP16/35).

At the time of making the orders, the Panel indicated that it was making enquiries into possible further orders.

Ainsworth Game Technology Limited - Undertaking

The President has accepted an undertaking from each of Mrs Margarete Charlotte Ainsworth and Votraint No. 1019 Pty Ltd (an entity controlled by Mrs Ainsworth) in relation to the application dated 13 May 2016 by the Australian Securities and Investments Commission (see TP16/32).

Mrs Ainsworth and Votraint have undertaken not to dispose of, transfer, grant a security interest over or otherwise deal with any shares or interests in shares in AGI held by Votraint (and, in the case of Mrs Ainsworth, shares or interests in shares in Votraint).

The Panel has received an application from the Australian Securities and Investments Commission in relation to the affairs of Ainsworth Game Technology Limited. The application concerns voting on the sale of a controlling stake in Ainsworth by its chairman under item 7 of s6111.
