The Panel has consented to a request from Mr Benjamin Pauley to withdraw his application to the Panel dated 27 October 2025 in relation to the affairs of Maronan Metals Limited (ASX: MMA) (Maronan) (see TP25/092).

The Panel is satisfied that it is not against the public interest to consent to the applicant withdrawing his application. The Panel does not propose to publish reasons in relation to this matter.

The Panel, Susan Forrester, Neil Pathak (sitting President) and Georgina Varley declined to conduct proceedings on an application by Elanor Funds Management Limited, as responsible entity of the Elanor Commercial Property Fund, in relation to the fund’s affairs. ECF was the subject of an off‑market takeover bid by Lederer. The application concerned disclosure deficiencies in the Bidder’s Statement.

The application concerned an unsolicited all‑scrip, reverse takeover offer from betr. PointsBet submitted that unacceptable circumstances arose from the combination of disclosure issues (including in betr’s bidder’s statement) and structural issues (including the Selective Share Buy‑Back) in relation to the betr Bid.

Maronan is an ASX listed mining company holding silver, lead, copper and gold deposits.

Emu NL 05 – Panel Accepts Further Undertaking and Declines to Make Declaration

The Panel has accepted a further undertaking from Emu NL (Emu) (see annexure) (Further Undertaking) and declined to make a declaration of unacceptable circumstances in response to an application dated 10 September 2025 from Dronkay Pty Ltd in relation to the affairs of Emu (see TP25/84).

The application concerned a non‑renounceable pro‑rata entitlement offer (Entitlement Offer) announced by Emu on 8 September 2025.

Yowie Group Limited 07

Introduction

  1. The Panel, Marina Kelman, Rebecca Maslen-Stannage and Bruce McLennan (sitting President), declined to conduct proceedings on an application by Mr Nicholas Bolton. The application concerned alleged contraventions of sections 606 and 671B by one or more entities within the WAM Group and other persons connected to the WAM Group in relation to Yowie.
