On 19 June 2025, the Panel received an application1 from Kinterra Capital GP Corp. II in its capacity as general partner of the Kinterra Critical Materials & Infrastructure Opportunities Fund II, LP. (Kinterra) in relation to the affairs of New World Resources Limited (ASX: NWC) (NWC).

The Panel has received two applications from Keybridge Capital Limited (ASX: KBC) (Keybridge) – one in relation to the affairs of Yowie Group Ltd (ASX: YOW) (Yowie) and the other in relation to its own affairs.
The Panel has received an application from Yowie Group Ltd (ASX: YOW) seeking a review of the Panel’s decision in Keybridge Capital Limited 17 (see TP25/043).
The President of the Panel has consented to the application for review under section 657EA(2) of the Corporations Act 2001 (Cth).
A review Panel has not been appointed at this stage and no decision has been made whether to conduct proceedings. The Panel makes no comment on the merits of the application.
The Panel has declined to make a declaration of unacceptable circumstances in response to an application dated 23 May 2025 from Yowie Group Ltd in relation to the affairs of Keybridge Capital Limited.
The President of the Panel has made interim orders1 in response to an application for interim orders dated 2 June 2025 by Mayfield Childcare Limited (ASX: MFD) (Mayfield) in relation to its affairs.
The interim orders provide that, without the prior consent of the President or the Panel (once appointed), certain persons alleged to be connected must not dispose of, transfer, charge or otherwise deal with their shares or interests in shares in Mayfield.
The Panel has received an application from Keybridge Capital Limited (ASX: KBC) (Keybridge) in relation to the affairs of Yowie Group Ltd (Yowie). The application is further to the circumstances set out in Keybridge’s application to the Panel dated 13 May 2025 (see TP25/031).

The application concerns alleged undisclosed associations in the context of an upcoming annual general meeting at which resolutions concerning the composition of the board are to be considered.
