The Panel has consented to a request by Challenger Listed Investments Limited, as responsible entity of Challenger Infrastructure Fund (CIF), to withdraw its application to the Panel dated 4 August 2008, in relation to the affairs of CIF (TP08/87).

The Takeovers Panel has received an application dated 4 August 2008 from Challenger Listed Investments Limited, as responsible entity of Challenger Infrastructure Fund (CIF). CIF comprises two stapled funds – CIF Investment Trust 1 and CIF Investment Trust 2. Arkmile Limited has requested a meeting to consider winding up CIF Investment Trusts 1 and 2. The meeting has been convened for 28 August 2008.

The Takeovers Panel today published the reasons for its decision on an application dated 24 July 2008 from Just Group Limited, in relation to its affairs.

On the basis of further disclosure by Premier Investments Limited, the Panel has decided not to conduct proceedings on an application from Just Group Limited dated 24 July 2008 (see TP08/80).

The Panel has consented to a request by Origin Energy Limited to withdraw its application to the Panel dated 24 July 2008, in relation to its affairs (TP08/81).

The Takeovers Panel has accepted an undertaking from Premier Investments Limited in relation to the application dated 24 July 2008 (see TP08/80) by Just Group Limited in relation to its affairs. Just Group is the subject of an off-market takeover bid by Premier.

The Takeovers Panel received an application on 24 July 2008 from Just Group Limited in relation to its own affairs. Just Group is the subject of an off-market takeover bid by Premier Investments Limited.

The Takeovers Panel has received an application from Origin Energy Limited in relation to its affairs. Origin is the subject of an off-market takeover bid by BG International (AUS) Investments 1 Pty Limited, a wholly owned subsidiary of BG Group plc.

The Takeovers Panel notes that BG International (AUS) Investments 1 Pty Limited has served supplementary and replacement bidder's statements on Origin Energy Limited and lodged the same with ASIC and ASX. BG has not yet despatched these documents to Origin shareholders.
