Introduction

  1. The Panel, Michelle Jablko (sitting President), Denise McComish and Robert McKenzie, made a declaration of unacceptable circumstances in relation to the affairs of Regal Resources Limited. The application concerned Regal scaling back applications for shortfall shares under its entitlement offer and instead issuing the shares to the underwriter. The Panel considered that the scaling back of shortfall shares by Regal was inconsistent with disclosure in Regal's notice of meeting and prospectus.

Panel Updates Index of its Decisions January 2015 - September 2016

The Panel has released an update of the index of its decisions. The updated index includes decisions up to and including 16 September 2016 as well as some corrections and further cross-references. The index can be found at the "Index of Reasons" tab on the Panel's website.

The index will be updated annually. The Panel welcomes any comments on the index via emails sent to: takeovers@takeovers.gov.au.

Regal Resources Limited – Undertaking

The President has accepted an undertaking from Ndovu Capital VI B.V. in relation to the application dated 22 September 2016 by Mr Warwick Sauer (see TP16/68). 

Ndovu has undertaken in effect not to dispose of, transfer, charge or otherwise deal with the shortfall shares issued to it as underwriter of Regal Resources Limited's recently completed entitlement offer.

A copy of the undertaking is attached.

Freshtel Holdings Limited

Introduction

  1. The Panel, Chelsey Drake, Christian Johnston (sitting President) and Jeremy Leibler, consented to a request by Dominet Digital Corporation Pty Ltd to withdraw its application in relation to the affairs of Freshtel Holdings Limited. The application concerned an entitlement offer announced by Freshtel during an on-market takeover bid by Dominet for all the shares of Freshtel. Freshtel and Dominet agreed to a resolution and the Panel was satisfied that it addressed the concerns raised in the application.
