Ainsworth Game Technology Limited - Undertaking

The President has accepted an undertaking from each of Mrs Margarete Charlotte Ainsworth and Votraint No. 1019 Pty Ltd (an entity controlled by Mrs Ainsworth) in relation to the application dated 13 May 2016 by the Australian Securities and Investments Commission (see TP16/32).

Mrs Ainsworth and Votraint have undertaken not to dispose of, transfer, grant a security interest over or otherwise deal with any shares or interests in shares in AGI held by Votraint (and, in the case of Mrs Ainsworth, shares or interests in shares in Votraint).

The undertaking has effect until the conclusion of the proceedings.

A copy of the undertaking is attached.

Undertakings

Ainsworth Game Technology Limited

  1. Margarete Charlotte Ainsworth undertakes to the Panel that until the conclusion of the Panel’s proceedings she will not, and will procure that each of her associates does not, dispose of, transfer, grant a security interest over or otherwise deal with any shares or interests in shares in AGI held by Votraint or shares or interests in shares in Votraint.
  2. Votraint undertakes to the Panel that until the conclusion of the Panel’s proceedings it will not, and will procure that each of its associates does not, dispose of, transfer, grant a security interest over or otherwise deal with any shares or interests in shares in AGI held by Votraint.
  3. Each of Margarete Charlotte Ainsworth and Votraint agrees to confirm in writing to the Panel when she (it) has satisfied her (its) obligations under these undertakings.
  4. In these undertakings the following terms have the corresponding meaning:
