The President of the Panel has made interim orders1 in response to an application for interim orders dated 7 April 2026 by Andrew John Barlow, as director of Venturian Pty Ltd ATF Maverick Innovation Trust, in relation to the affairs of Mobile Asset Holdings Ltd (Mobile Asset) (see TP26/14).

On 18 March 2026, Mobile Asset issued a Notice of Extraordinary General Meeting (EGM) scheduled for 3:00 pm on Thursday, 9 April 2026 to consider a special resolution inserting drag‑along and tag‑along rights into Mobile Asset’s constitution.

On 8 April 2026, Mobile Asset informed shareholders that:

The Board has determined to defer the EGM to allow time to consider matters raised in connection with the Notice and to provide shareholders with any additional information relevant to the proposed amendment, together with an opportunity to review their voting position if they wish.

The Company is currently considering whether any supplementary information, adjustments to the proposed resolution, or alternative approaches are appropriate.

A further update will be provided to shareholders, including details of the revised meeting date and any additional materials.

The President was concerned that any further actions taken by Mobile Asset could prejudice the consideration by the Panel (once appointed) of the application. Accordingly, the President made interim orders restricting Mobile Asset from holding a general meeting at which shareholders are asked to consider, and if thought fit, pass a resolution inserting drag‑along or tag‑along rights into Mobile Asset’s constitution (including the special resolution proposed in Mobile Asset’s notice of extraordinary general meeting dated 18 March 2026). Any votes on a resolution inserting drag‑along or tag‑along rights into Mobile Asset’s constitution are to be disregarded.

The interim orders have effect until the earliest of further order of the President or the Panel, determination of the proceedings or 2 months from the date of the interim orders.

Interim Orders

Mobile Asset Holdings Ltd

Andrew John Barlow, as director of Venturian Pty Ltd ATF Maverick Innovation Trust, made an application to the Panel dated 7 April 2026 in relation to the affairs of Mobile Asset Holdings Ltd (Mobile Asset).

The President ORDERS:

  1. Mobile Asset must not hold a general meeting at which shareholders are asked to consider, and if thought fit, pass a resolution inserting drag‑along or tag‑along rights into Mobile Asset’s constitution (including the special resolution proposed in Mobile Asset’s notice of extraordinary general meeting dated 18 March 2026).
  2. Any votes on a resolution inserting drag‑along or tag‑along rights into Mobile Asset’s constitution are to be disregarded.
  3. These interim orders have effect until the earliest of:
    1. further order of the President or the Panel
    2. the determination of the proceedings and
    3. 2 months from the date of these interim orders.

1 BACKGROUND: An interim order is designed to maintain the status quo until the Panel can consider the application in detail. It may be made by the President or a sitting Panel. Often a sitting Panel has not been appointed at the stage of considering the making of an interim order. An interim order does not indicate that the Panel has decided to conduct proceedings or necessarily indicate the merits of an application for a declaration of unacceptable circumstances.
