The Takeovers Panel (the Panel) has today issued a number of revised Guidance Notes and has posted these revised Guidance Notes on its web site at: Guidance.
The Guidance Notes which have been revised are:
- Guidance Note 2: Reviewing Decisions;
- Guidance Note 3: Making Rules;
- Guidance Note 4: Remedies and Enforcement;
- Guidance Note 5: Restraining the Dispatch of Documents;
- Guidance Note 6: Minimum Price Requirement - s621(3) & (4);
- Guidance Note 8: Matter Procedures;
- Guidance Note 9: Costs Orders; and
- Guidance Note 10: Public Consultation.
The amendments which have been made to the revised Guidance Notes are minor in nature. These amendments include updating legislative references, inserting references to Panel decisions and generally expanding upon existing explanations and guidance where appropriate.
The aim of conducting the revision of these Guidance Notes was not only to improve them by making them more useful to users, but to seek to ensure that the Guidance Notes reflect current Panel practices and thinking.
We strongly recommend that users refer to the revised Guidance Notes in future. The previous versions of each Guidance Note will remain on the Panel's web site at: Superseded Guidance Notes
