On the basis of further disclosure by Premier Investments Limited, the Panel has decided not to conduct proceedings on an application from Just Group Limited dated 24 July 2008 (see TP08/80).
The further disclosure was made on 28, 29 and 31 July 2008. Among other things, it clarified the implied value of the Premier offer and substantiated statements by its Chairman concerning intentions of major shareholders to accept the offer.
The Panel considered that the further disclosure dealt adequately with the issues raised in the application.
The Panel will publish its reasons for its decision on its website at www.takeovers.gov.au in due course.
